B2B Wholesale & Trade Terms

These B2B Wholesale & Trade Terms & Conditions ("Wholesale Terms") govern all bulk transactions, wholesale distribution, agency agreements, and dealer relationships with FUBAR Fashion (operated by founder Manish Katela at our Jaipur headquarters). By registering as a trade partner, requesting wholesale catalogs, or placing bulk orders, you agree to comply with these terms.
1. Wholesale Account Eligibility & Verification
To place bulk orders, view trade price lists, or qualify for wholesale discounts, business buyers must complete our verification process:
- Registration Requirements: You must provide a valid Business Name, GSTIN (GST Registration Certificate in India), Permanent Account Number (PAN), and physical retail showroom or warehouse address.
- Right to Refuse: FUBAR Fashion reserves the sole and absolute right to approve, reject, suspend, or terminate B2B registrations or orders to prevent channel conflict, territory saturation, or credit risks.
2. Minimum Order Value (MOV) & Quantity (MOQ)
To preserve wholesale pricing margins, trade partners must adhere to order volume requirements:
- Minimum Order Size: The Minimum Order Quantity (MOQ) is 50 pieces per order, with a minimum of 5 pieces per design/SKU (in assorted sizing ratios). A Minimum Order Value (MOV) of ₹25,000 applies to all first-time wholesale purchases.
- Re-order Thresholds: Subsequent re-orders must meet a minimum value of ₹15,000. FUBAR Fashion reserves the right to adjust MOQ and pricing schedules based on fabric costs and seasonal demand.
3. Pricing, Taxes, & MSRP Compliance
FUBAR Fashion maintains strict guidelines to maintain brand value and clean pricing structures across B2B and D2C channels:
- Taxation: Wholesale pricing is quoted Ex-Warehouse (Jaipur) and excludes GST, transport costs, octroi, and local levies. GST (standard rate for apparel) will be added to the invoice at the time of billing.
- MSRP Compliance (Minimum Advertised Price): Partners agree not to advertise, list, or sell FUBAR Fashion products in physical showrooms or online channels below the Maximum Retail Price (MRP) or Minimum Advertised Price (MAP) specified in our wholesale catalog. Any discount campaigns exceeding 15% off MRP must receive written clearance from FUBAR Fashion.
4. Payment Settlements & Pre-Payment Terms
As outlined in our general terms, FUBAR Fashion operates strictly on prepaid commercial policies:
- 100% Upfront Settlement: All invoices, manufacturing deposits, and packaging charges must be settled in full (100%) via direct Bank Transfer (RTGS/NEFT/IMPS), UPI, or our secure digital billing links before the consignment is dispatched from our Jaipur warehouse.
- No Credit/COD: FUBAR Fashion does not extend credit, bill-of-exchange payment periods, or Cash on Delivery (COD) terms for bulk, wholesale, or distributor accounts under any circumstances.
5. Shipping, Delivery & Ex-Works (EXW) Jaipur Terms
All logistics and delivery operations are subject to standard industrial dispatch regulations:
- Ex-Works Jaipur: All bulk shipments are delivered Ex-Works (EXW) from our Jaipur headquarters (RIICO Industrial Area, Sirsi Rd, Jaipur, Rajasthan).
- Freight & Insurance: Freight charges, local carriage, and transit insurance are paid by the buyer. FUBAR Fashion can coordinate with leading transport agencies (e.g., V-Trans, TCI, SafeExpress) on your behalf, but freight fees will be added to the invoice or paid on delivery (TO-PAY basis).
- Transfer of Risk: The ownership and risk of loss, damage, or water seepage transfer to the B2B buyer the moment the consignment is loaded onto the transport vehicle and signed for by the carrier.
6. Shortage Claims, Defects & Mandatory Unboxing Videos
To mitigate claims and return disputes, B2B buyers must comply with inspection protocols:
- Inspection Window: Buyers must inspect transport bales/cartons and report shortages, wrong items, or manufacturing defects in writing within **72 hours** of delivery. No claims will be entertained after this period.
- Mandatory Unboxing Video: For any claim regarding short-shipment, missing items, or damage, the buyer must provide a single, continuous, unedited high-definition unboxing video showing the opening of the sealed transport bale/carton, carton weight tags, and the counting of individual packs.
- Resolution: Valid defects or shortages verified by our warehouse dispatch log will be resolved via credit notes or replacement pieces in the subsequent order. Cash refunds are not issued.
7. Intellectual Property & Marketplace Restrictions
Purchasing FUBAR products does not grant trade partners intellectual property rights, except for limited resale marketing permissions:
- Authorized Branding: Partners may use FUBAR Fashion catalog images, brand names, and display materials solely to promote FUBAR apparel within authorized physical retail showrooms.
- Online Marketplace Prohibition: Wholesale partners are strictly prohibited from reselling FUBAR Fashion products on third-party online marketplaces (such as Meesho, Flipkart, Myntra, etc.) under their own merchant profiles. Reselling online is reserved exclusively for FUBAR's direct-to-consumer store.
8. Governing Law & Jurisdiction
All wholesale transactions, trade disputes, and legal agreements are governed by the laws of India. Any disputes arising out of bulk trading terms will be subject to the exclusive jurisdiction of the courts of Jaipur, Rajasthan, India.
